By accessing the Website or placing an order with us, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, please do not use our Website or Services.

2. DEFINITIONS

“User”, “You”, “Your” refers to anyone accessing the Website, creating an account, or purchasing goods from us (including retail customers, stocking dealers, and non-stocking dealers).
“Merchandise”, “Products”, “Goods” refers to all items, custom designs, and physical products offered for sale by the Company.

3. ELIGIBILITY & ACCOUNT REGISTRATION

By using this Website or applying for an account, you confirm that:

You are at least 18 years old and legally capable of entering into a binding agreement.
You will use the Website in accordance with all applicable local, state, and federal laws.

Wholesale & Dealer Accounts (If Applicable)

Approval: All new commercial or dealer accounts must complete our Customer Information Form. Accounts are subject to approval by the Company, and we reserve the right to decline or revoke any account at our sole discretion. All accounts are reviewed periodically.
Account Security: If you create an account, you are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. We reserve the right to suspend or terminate accounts in case of misuse or violation of these Terms.

4. ORDER MINIMUMS & PRICING

Order Discretion: We reserve the right to reject, modify, or cancel any order based on product availability, errors in pricing/details, current creditworthiness, or past-due account status.
Pricing & Modifications: All prices are listed in USD. Applicable taxes and shipping fees will be added at checkout or upon invoicing. Prices and product availability are subject to change without notice. We correct errors in product details or pricing as discovered without prior liability.

5. PAYMENT TERMS & CREDIT

Prepayment: Initial or opening orders must be prepaid in full by credit card (all major credit cards accepted), pro forma invoice, or check.
Net Terms: Net 30 days may be requested for future orders. Approval is subject to a satisfactory credit check by our designated credit factors or internal finance team.
Secure Processing: Online payments are handled via secure third-party gateways. We do not store sensitive payment details. Full payment must be cleared before merchandise leaves our facility.

6. SHIPPING, DELIVERY & DROP SHIPPING

Shipping Terms: FOB New Jersey (or designated shipping point).
Carrier & Charges: All goods are shipped via FedEx Ground unless otherwise specified and agreed upon in writing on the purchase order. Shipping fees are calculated by the weight and volume of the goods. Shipping costs are the sole responsibility of the customer and will be added to the final invoice prior to dispatch.
Drop Shipping: We accept drop-ship orders for an additional handling charge of $10.00 per item.
Delays & Peak Seasons: Delivery timelines are estimates only. Please allow extra processing and shipping time during peak seasonal periods (e.g., holidays and post-trade shows). We are not liable for transit delays caused by courier services, customs processing, natural disasters, or other external forces beyond our control.
Back Orders: We will ship back-orders or partial orders as products become available unless explicitly requested otherwise on the initial order.

7. PRODUCT VARIATIONS (HANDMADE DISCLAIMER)

Please note that many of our items are handmade, printed, foiled, or dyed by hand.

Unique Variations: No two pieces can be exactly alike. Minor discrepancies and natural variations in dye lots, stitching, layout, or size are inherent characteristics of artisan manufacturing.
Defect Policy: These unique variations are a mark of craftsmanship and are not considered product defects or grounds for a defective return.

8. SPECIAL ORDERS & TRADE SHOWS

Custom Orders: We offer custom manufacturing and proprietary designs based on customer specifications. Custom orders must be submitted in writing and require a non-refundable 50% deposit. Custom orders are strictly final and are not subject to change, cancellation, or return.
Trade Show Orders: All orders placed on-site at professional Trade Shows are considered final, binding orders and cannot be cancelled or altered after submission.

9. CLAIMS, RETURNS & RESTOCKING FEES

Merchandise Shortages: Any claims for missing items or shipment shortages must be filed with the Company in writing within 3 days of receiving the goods. Claims submitted after 3 days will not be honored.
Defective or Incorrect Shipments: Returns are accepted only for verified defective items or incorrect items shipped, provided the claim is made within 30 days of receipt.
Return Authorization (RA): Before returning any product, you must contact us to obtain a Return Authorization (RA) Number. The RA number and RA packing list must be clearly marked on the exterior of all cartons. Any return arriving without a visible, authorized RA number will be refused and returned to sender at their expense. Credit will be issued only after our warehouse receives and inspects the merchandise.
Restocking Fee: Any non-defective returns explicitly authorized by the Company will incur a 20% restocking fee, and the buyer shall cover all return shipping costs.

10. INTERNET SALES & BRAND PROTECTION POLICY

Authorization Required: The sale, promotion, display, presentation, or offer for sale of any of our products, reproductions, or brand imagery via the internet (including third-party marketplaces and e-commerce websites) is strictly prohibited without prior, express written authorization from the Company.
Brand Integrity: To protect and preserve the quality image associated with our brand, we reserve the right to immediately terminate the account of any dealer or user who violates this digital sales policy.

11. INTELLECTUAL PROPERTY

All content displayed on the Website or provided in our catalogs—including but not limited to logos, text, graphics, images, product designs, trade dress, and software—is the exclusive property of the Company and is protected by applicable copyright, trademark, and intellectual property laws.
